Acceptance of Terms
By accessing or using the iRoxanne Studio website or engaging our services, you agree to these Terms of Use. If you do not agree, please do not use our website or services.
Our Services
iRoxanne Studio provides custom software design and development services, including web and mobile applications built to your specifications. The specific scope, deliverables, timeline, and price for any project are defined in a separate written agreement (your project contract) signed by both parties. In the event of any conflict between these Terms and your project contract, the project contract governs.
Quotes and Estimates
Any quote or estimate we provide before a contract is signed is an approximation based on the information available at the time. Actual scope, timeline, and price are confirmed in your signed contract. Estimates are not binding until a contract is executed.
Contracts and Deposits
Each project is governed by a signed contract that sets out the agreed scope, price, and payment schedule. Most projects require a deposit at signing to reserve your project slot and begin work. The deposit amount and payment terms are specified in your contract. Deposits are generally non-refundable once work has begun, as they cover project scheduling and initial development.
Payment
Payment terms, including the deposit, milestone payments, and final balance, are set out in your contract. Invoices are due according to the schedule in your agreement. Late payments may pause work on your project until the outstanding balance is resolved.
Your Responsibilities
To help us deliver your project successfully, you agree to:
- Provide accurate and timely information about your business and requirements
- Review deliverables and provide feedback within reasonable timeframes
- Supply any content, assets, or access needed for the project
- Make payments according to your contract schedule
Delays in providing these may affect your project timeline.
Intellectual Property
Upon receipt of full payment, you own the custom software we build for you under your contract, except for third-party libraries, tools, or platforms we use, which remain licensed by their respective owners. We may use general techniques, processes, and know-how developed during your project in our work for other clients, provided we do not use your confidential information or proprietary content.
Confidentiality
We respect the confidentiality of your business information. We will not disclose your confidential information to third parties except as necessary to deliver your project or as required by law.
Warranties and Disclaimer
We warrant that the software we deliver will conform to the specifications in your contract. We provide a support period as defined in your agreement. Because software depends on third-party platforms, internet services, and your own usage, we cannot guarantee that the software will be error-free or operate without interruption. To the maximum extent permitted by law, our services are provided "as is," and we disclaim all other warranties, express or implied.
Limitation of Liability
To the maximum extent permitted by law, iRoxanne Studio's total liability for any claim arising out of or relating to our services is limited to the amount you have paid us for the project giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
Termination
Either party may terminate a project as described in your contract. If you terminate before completion, you are responsible for payment for work completed up to the termination date, as set out in your agreement.
Third-Party Services
Our work may integrate with or rely on third-party platforms and services (such as hosting, payment processing, and other tools). We are not responsible for the availability, performance, or policies of third-party services, and your use of them is subject to their own terms.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date.
